By accessing or using the website https://www.fasttracksds.com ("Website") or purchasing services from Ecoformix Ltd, trading as FastTrack SDS ("FastTrack SDS," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING OUR WEBSITE OR SERVICES.

2. Description of Services

FastTrack SDS provides professional Safety Data Sheet (SDS) creation services for e-commerce sellers, brands, and businesses selling products on online marketplaces including Amazon, TikTok Shop, Walmart, and other platforms, as well as clients using third-party logistics (3PL) services.

Our Services Include:

- Custom-created Safety Data Sheets prepared manually by trained compliance experts

- Technical analysis of product formulations and ingredients

- Regulatory compliance documentation for dangerous goods classification

- Guidance and support through marketplace reinstatement processes

- Up to two (2) revisions per order if marketplace feedback requires adjustments

Our Services Do NOT Include:

- Direct submission of documents to marketplaces on your behalf (only you can access your Seller Central or merchant accounts)

- Legal advice or legal representation

- Guarantees of marketplace approval (we create compliant documents; marketplace decisions are outside our control)

- Product reformulation or ingredient sourcing

- Ongoing regulatory monitoring or compliance updates beyond the initial service delivery

3. Eligibility and Account Responsibilities

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use our services. By placing an order, you represent and warrant that you meet these requirements.

Account Information

You are responsible for:

- Providing accurate, complete, and truthful information about your products, ingredients, and business

- Maintaining the confidentiality of any account credentials

- All activities that occur under your account

- Notifying us immediately of any unauthorized use of your account

4. Prohibited Products and Services

We reserve the right to refuse service for any product that:

- Is prohibited or restricted by the marketplace or platform where you intend to sell

- Falls under banned categories including but not limited to: firearms, explosives, illegal drugs, hazardous materials we cannot safely document, or products that violate local, national, or international laws

- Contains insufficient or inaccurate ingredient information that prevents compliant SDS creation

- Is intended for fraudulent, illegal, or unethical purposes

Examples of marketplace-prohibited items include but are not limited to:

- Weapons, ammunition, and explosive devices

- Illegal substances or drug paraphernalia

- Products that violate intellectual property rights

- Items that present unreasonable safety risks

If we determine your product cannot be approved for your intended fulfillment method (e.g., FBA, PAN EU FBA), we will inform you of alternative options such as Multi-Country Inventory (MCI) or Fulfilled by Merchant (FBM), where applicable.

5. Ordering Process and Turnaround Times

Order Placement

When you place an order, you agree to:

- Complete the required product information form accurately and thoroughly

- Provide all necessary documentation (ingredient lists, existing MSDS, product specifications)

- Pay the full service fee upfront via Stripe or PayPal

- Review and accept these Terms of Service

Service Tiers and Delivery Times

We offer three service tiers:

- 48-Hour Service ($749): SDS delivered within 48 hours of receiving complete product information

- 24-Hour Service ($775): SDS delivered within 24 hours of receiving complete product information

- 6-12 Hour Ultra-Urgent Service ($799): SDS delivered within 6-12 hours of receiving complete product information

Important Notes on Turnaround Times:

Turnaround times begin once we receive ALL required product information and documentation

If you provide incomplete or inaccurate information, delivery may be delayed, and we are not responsible for such delays

Delivery times refer to the creation and delivery of your SDS document to you; marketplace approval times are separate and outside our control

Turnaround guarantees apply to business days (Monday-Friday, excluding UK public holidays)

6. Payment Terms

Payment Processing

- All payments must be made in full before work begins

- We accept payment via Stripe and PayPal

- Prices are listed in USD and include the creation of one (1) SDS document with up to two (2) revisions

- All fees are non-refundable once work has commenced (see Refund Policy below)

- Additional Fees

- Additional charges may apply for:

- Translations into languages other than English (quoted separately)

- Additional revisions beyond the included two (2) revisions

- Expedited services beyond the 6-hour tier (by special arrangement only)

- Complex multi-component products requiring extensive technical analysis

You will be notified and must approve any additional fees before they are charged.

7. Client Responsibilities

Accurate Information

You are solely responsible for:

- Providing accurate, complete, and up-to-date product information, ingredient lists, formulations, and specifications

- Ensuring you have the legal right to disclose all product information to us

- The accuracy of all information provided, including CAS numbers, concentrations, and hazard classifications

Compliance with Laws

You are responsible for:

- Ensuring your products comply with all applicable laws and regulations in your jurisdiction and target markets

- Obtaining any necessary permits, licenses, or approvals to sell your products

- Using the SDS in accordance with applicable regulations

Marketplace Submission

You are responsible for:

- Uploading the completed SDS to your marketplace seller account or providing it to your 3PL

- Following marketplace-specific submission procedures

- Responding to any marketplace inquiries or follow-up requests

- Communicating any marketplace feedback to us if revisions are needed

8. Revisions and Marketplace Feedback

Included Revisions

- Each order includes up to two (2) free revisions if:

- The marketplace (Amazon, TikTok Shop, Walmart, etc.) provides specific feedback requiring adjustments

- The revision request is based on technical or formatting requirements from the marketplace

- The revision is requested within 90 days of the original SDS delivery

Revision Exclusions

Revisions are NOT included for:

- Changes to product formulation or ingredients after the original SDS is created

- Requests for different products or variants not covered in the original order

- Marketplace rejections due to the product itself being prohibited (not the SDS documentation)

- Requests made more than 90 days after delivery

Additional Revisions

Revisions beyond the included two (2) may be provided at an additional fee, quoted on a case-by-case basis.

9. No Guarantee of Marketplace Approval

IMPORTANT: While we create technically accurate, regulation-compliant Safety Data Sheets, we do not control marketplace decision-making processes.

What We Guarantee:

- SDSs created in accordance with applicable safety standards (GHS, REACH, etc.)

- Compliance with technical formatting requirements of major marketplaces

- Manual creation by trained compliance experts (not automated software)

What We Do NOT Guarantee:

- Approval by any specific marketplace or platform

- Timeframes for marketplace review and approval

- Specific business outcomes (sales, rankings, revenue, etc.)

- That your product qualifies for any particular fulfillment method (FBA, FBM, MCI, PAN EU, etc.)

Marketplace approval depends on factors outside our control, including but not limited to:

- The product itself meeting marketplace safety and compliance standards

- Marketplace-specific policies and procedures

- Current regulatory requirements in target markets

- Reviewer interpretation and discretion

10. Refund Policy

No Refunds After Work Begins

Once we begin work on your order, all fees are non-refundable. Work is considered to have begun when:

- We have received your completed product information form

- Our compliance team has started analysis of your product

- We have charged your payment method

Pre-Work Cancellations

If you cancel your order BEFORE we begin work (i.e., before we charge your payment method and begin analysis), you may receive a full refund.

No Refunds for Marketplace Decisions

We do not provide refunds if:

- Amazon, TikTok Shop, Walmart, or another marketplace rejects your SDS or product for any reason

- The marketplace determines your product is ineligible for a particular fulfillment method

- The marketplace approval process takes longer than expected

- You change your mind about selling the product

- Your product formulation changes after the SDS is created

- You provided inaccurate or incomplete product information

Exceptions

Refunds may be considered only in the following exceptional circumstances:

- We fail to deliver an SDS within the guaranteed turnaround time for your service tier due to our error

- We discover after starting work that your product is legally prohibited and cannot be documented

All refund requests must be submitted in writing to [email protected] within 7 days of the issue arising.

11. Confidentiality and Intellectual Property

Your Confidential Information

We understand that your product formulations, ingredient lists, and trade secrets are proprietary and confidential. We agree to:

- Maintain strict confidentiality of all product information, formulations, and technical data

- Use your confidential information solely for the purpose of creating your SDS

- Not disclose your information to any third parties except authorized regulatory partners bound by confidentiality obligations

- Store your information securely with appropriate safeguards

- Not use your formulations to create SDSs for competitors or other clients

Our Intellectual Property

The SDS documents we create, including the format, structure, and technical analysis, are the intellectual property of FastTrack SDS. However, once delivered and paid for, you receive a perpetual, non-exclusive license to use the SDS for your product in your business operations.

You may NOT:

- Resell, redistribute, or license the SDS to third parties

- Use our SDS template or format to create SDSs for other products

- Claim authorship of the SDS document

- Remove or alter our authorship attribution

Website Content

All content on our Website, including text, graphics, logos, images, and software, is the property of FastTrack SDS or its licensors and is protected by copyright, trademark, and other intellectual property laws.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No Consequential Damages

FastTrack SDS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

- Loss of profits, revenue, or sales

- Loss of business opportunities

- Loss of data or product listings

- Damage to business reputation

- Cost of substitute services

- Business interruption

These limitations apply even if FastTrack SDS has been advised of the possibility of such damages.

Maximum Liability Cap

Our total liability to you for any claims arising from or related to our services shall not exceed the amount you paid for the specific service giving rise to the claim.

Basis of the Bargain

You acknowledge that the limitations of liability in this section are fundamental elements of the agreement between you and FastTrack SDS, and that we would not provide services without these limitations.

13. Disclaimers and Warranties

Services Provided "As Is"

OUR SERVICES AND WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, FASTTRACK SDS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

- Implied warranties of merchantability

- Fitness for a particular purpose

- Non-infringement of third-party rights

- Accuracy, reliability, or completeness of content

No Guarantee of Results

We do not warrant or guarantee:

- That your SDS will be accepted by any marketplace or platform

- That your products will be approved for any particular fulfillment method

- Any specific business outcomes or financial results

- That our services will be uninterrupted, timely, secure, or error-free

- That any errors in our services will be corrected

Technical Accuracy

While we strive for technical accuracy in all SDSs we create, you acknowledge that:

- Regulatory requirements may change without notice

- Different regulators or marketplaces may interpret requirements differently

- Complete accuracy cannot be guaranteed for all technical specifications

- You should independently verify compliance with applicable laws

14. Indemnification

You agree to indemnify, defend, and hold harmless FastTrack SDS, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

- Your use of our services

- Your violation of these Terms

- Your violation of any applicable laws or regulations

- Inaccurate or misleading information you provide to us

- Your product causing harm, injury, or damage to any person or property

- Any intellectual property infringement related to your products

- Any claims by marketplaces, regulators, or third parties related to your products

15. Marketplace-Specific Disclaimers

Amazon

We are not affiliated with, endorsed by, or officially connected to Amazon in any way. Amazon, FBA (Fulfillment by Amazon), PAN EU, MCI (Multi-Country Inventory), and related terms are trademarks of Amazon.com, Inc. or its affiliates.

TikTok Shop

We are not affiliated with, endorsed by, or officially connected to TikTok or TikTok Shop in any way. TikTok and TikTok Shop are trademarks of ByteDance Ltd.

Walmart

We are not affiliated with, endorsed by, or officially connected to Walmart in any way. Walmart is a trademark of Walmart Inc.

General Disclaimer

References to these platforms are for informational purposes only. Each platform has its own terms of service, policies, and approval processes that are outside our control.

16. Changes to Client Status

You must inform us immediately if:

- Your product formulation changes

- Your business legal status changes (company name, address, etc.)

- Your marketplace seller account is suspended or closed

- You cease selling the product for which we created an SDS

- Any regulatory or legal issues arise related to your product

- Failure to notify us of material changes may affect our ability to provide revisions or support.

17. Modifications to Terms

FastTrack SDS reserves the right to revise these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting to our Website with a new "Last Updated" date.

Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

We recommend reviewing these Terms periodically to stay informed of any updates.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and FastTrack SDS regarding our services and supersede all prior agreements, understandings, and representations, whether written or oral.

20. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

22. Force Majeure

FastTrack SDS shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

- Acts of God, natural disasters, or extreme weather

- War, terrorism, civil unrest, or government actions

- Strikes, labor disputes, or supply chain disruptions

- Internet outages, cyber-attacks, or technical failures

- Pandemics or public health emergencies

23. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Northern Ireland and the United Kingdom, without regard to conflict of law principles.

You irrevocably agree that the courts of Northern Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

24. Dispute Resolution

Informal Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute in good faith within 30 days.

Formal Proceedings

If informal resolution is unsuccessful, either party may initiate formal legal proceedings in accordance with the jurisdiction clause above.

No Class Actions

You agree that any proceedings will be conducted on an individual basis and not as part of a class action, consolidated action, or representative action.
